1.Acceptance of the Terms

These Terms of Service (the "Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you", "Merchant", or "Customer"), and Payzum, governing your access to and use of the Payzum websites, dashboards, application programming interfaces, software, plug-ins, widgets, point-of-sale tools, and related services (collectively, the "Services").

By accessing or using the Services, creating an account, or clicking to accept these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms and by all documents incorporated herein by reference, including our Privacy Policy. If you do not agree, you must not access or use the Services.

If you accept these Terms on behalf of an entity, you represent and warrant that you have the authority to bind that entity, and "you" refers to that entity.

2.Definitions

  • "Digital Asset" means a cryptocurrency, stablecoin, token, or other blockchain-based asset supported by the Services (e.g., BTC, ETH, USDC, USDT).
  • "Merchant Wallet" means a blockchain address or wallet owned, controlled, and designated by the Merchant to receive Digital Assets.
  • "Transaction" means a payment, invoice, payout, donation, subscription charge, or other transfer of Digital Assets facilitated through the Services.
  • "Network" means a public blockchain protocol (e.g., Bitcoin, Ethereum, Solana, Polygon, Base, Arbitrum, Optimism, BNB Chain, Avalanche) over which a Transaction settles.
  • "End User" means a payer or counterparty who transacts with a Merchant using the Services.
  • "Documentation" means the technical and operational materials made available at merchant.payzum.com/docs.

3.Eligibility & Accounts

You must be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract. The Services are intended for commercial and developer use by businesses and individuals operating a lawful business or project.

You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials, API keys, and second-factor authentication, and for all activity occurring under your account. You must notify us promptly of any unauthorized access or security breach.

We may, in our sole discretion, refuse registration, or suspend or terminate accounts, where required for legal, compliance, security, or risk-management reasons.

4.The Services

Payzum provides a non-custodial, crypto-only payment-processing infrastructure that enables Merchants to request, receive, and reconcile payments in Digital Assets, and to issue Digital Asset payouts. Features may include payment links and buttons, hosted checkout, invoices, donations, subscriptions, a point-of-sale suite (terminals, cashiers, and sales analytics), mass payouts, a REST API, signed webhooks, and the x402 protocol for machine-to-machine payments.

The Services are provided on an "as available" basis and may be modified, expanded, or discontinued, in whole or in part, at any time. Supported Networks and Digital Assets may change without notice.

5.Non-Custodial; No Fiat; No Money Transmission

Payzum never takes custody of your funds. Digital Assets route directly from the End User to the Merchant Wallet on-chain. Payzum does not hold, pool, control, or have access to Merchant or End User Digital Assets at any time, and does not hold private keys on your behalf.

You acknowledge and agree that:

  • Payzum operates exclusively in Digital Assets (crypto-in / crypto-out) and does not handle, convert, exchange, hold, or transmit fiat currency, and provides no fiat on-ramp, off-ramp, bank withdrawal, or settlement in any government-issued currency.
  • Any optional stablecoin auto-conversion feature effects a Digital-Asset-to-Digital-Asset swap on a Network and at no point involves fiat currency.
  • Payzum acts solely as a technology provider and communications/coordination layer. Payzum is not a bank, money transmitter, money services business, custodian, broker-dealer, exchange, trust company, investment adviser, or fiduciary, and does not provide financial, legal, tax, or investment advice.
  • Because Payzum never takes possession or control of customer funds, the Services are designed to fall outside the definition of money transmission under applicable law, including the laws of the State of Wyoming.

As between the parties, the Merchant is solely responsible for the ownership, control, security, and lawful use of the Merchant Wallet and any private keys associated with it.

6.Merchant Responsibilities

  • You are solely responsible for designating valid, correct Merchant Wallet addresses on the appropriate Network. Transactions on public blockchains are irreversible; we cannot recover assets sent to an incorrect, incompatible, or compromised address.
  • You are responsible for the lawfulness of your business, your products and services, your pricing, your tax determination, collection, reporting, and remittance, and for all dealings with your End Users, including refunds, disputes, and customer support.
  • You must maintain your own records and comply with all laws applicable to your business, including consumer-protection, tax, data-protection, and licensing requirements in each jurisdiction in which you operate.
  • You are responsible for safeguarding API keys, webhook secrets, cashier PINs, and account access, and for all Transactions initiated through your integration.

7.Compliance, AML & Sanctions

Payzum operates in compliance with applicable laws and regulations of the State of Wyoming and U.S. federal law, including applicable Wyoming digital-asset statutes. We maintain risk-based compliance, anti-money- laundering ("AML"), counter-terrorist-financing ("CFT"), and sanctions-screening controls proportionate to a non-custodial technology provider.

You agree to comply with all applicable AML/CFT and sanctions laws. You represent and warrant that you, your beneficial owners, and your End Users are not (i) located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive sanctions, or (ii) listed on any sanctions list maintained by the U.S. Office of Foreign Assets Control ("OFAC") or other applicable authority.

As a condition of onboarding and continued access to the Services, Payzum performs Know-Your-Business ("KYB") verification on Merchants, which may include collecting and verifying business registration details, beneficial-ownership information, and supporting documentation. You agree to provide accurate KYB information and to promptly notify us of material changes.

Payzum further conducts risk-based screening of incoming Transactions and associated blockchain addresses against sanctions and risk databases using third-party blockchain-analytics and transaction-monitoring providers, currently including Scorechain. Payzum may engage additional or alternative screening and analytics providers at any time. Where screening identifies elevated risk or a sanctions nexus, we may, in our discretion or as legally required, request further information, delay, decline, or block a Transaction, suspend the Services, and report activity to competent authorities. You agree to cooperate with reasonable compliance requests.

8.Prohibited & Restricted Uses

You must not use the Services to engage in, facilitate, or further any unlawful, fraudulent, or harmful activity. Without limitation, you must not use the Services in connection with:

  • money laundering, terrorist financing, sanctions evasion, or transactions with sanctioned persons or jurisdictions;
  • fraud, theft, deceptive or unfair practices, or sale of stolen credentials, data, or goods;
  • illegal drugs, weapons, human exploitation, child sexual abuse material, or other illegal goods or services;
  • unlicensed financial services, Ponzi or pyramid schemes, market manipulation, or unlawful securities offerings;
  • infringement of intellectual-property or privacy rights;
  • malware, phishing, denial-of-service, scraping, reverse engineering, or circumvention of the Services' technical or security measures; or
  • any activity prohibited by the laws applicable to you or to Payzum.

We may maintain a list of restricted business categories and may update it at any time.

9.Fees

Fees for the Services, if any, are as described in your order, the dashboard, or an applicable schedule. Network (gas) fees and validator costs are inherent to the relevant Network, are payable to third parties, and are not set or received by Payzum. You are responsible for all taxes associated with your use of the Services, excluding taxes on Payzum's net income. We may change fees prospectively upon notice.

10.API, Webhooks & x402

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access the API and integrate the Services. You must use API keys securely, respect rate limits, and verify the authenticity of signed webhook payloads. You are responsible for the security and behavior of any agent, application, or service you build, including any x402-enabled endpoint you operate. We may modify, version, deprecate, or rate-limit the API, and may suspend access for abuse, security, or stability reasons.

11.Blockchain Networks & Third Parties

The Services rely on public blockchain Networks and third-party infrastructure (including node providers, wallets, stablecoin issuers, and the x402 protocol) that Payzum does not own or control. We are not responsible for Network congestion, forks, re-orgs, downtime, protocol changes, smart-contract behavior, gas-fee volatility, stablecoin de-pegging, or the acts or omissions of any third party. Your use of third-party services is governed by their terms.

12.Intellectual Property

The Services, including all software, designs, text, graphics, logos, and trademarks (including "Payzum"), are owned by Payzum or its licensors and are protected by intellectual-property laws. Except for the limited licenses expressly granted herein, no rights are granted to you. You must not copy, modify, distribute, sell, or create derivative works of the Services except as permitted by applicable law or the Documentation. You grant us a license to use feedback you provide without restriction or obligation.

13.Privacy

Our collection and processing of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for providing all required notices to, and obtaining all required consents from, your End Users for any data you collect through the Services.

14.Disclaimers of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYZUM DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. PAYZUM DOES NOT WARRANT THE PERFORMANCE OR AVAILABILITY OF ANY NETWORK OR THIRD-PARTY SERVICE.

15.Assumption of Risk

You understand and accept the risks inherent in Digital Assets and blockchain technology, including price volatility, the irreversibility and finality of on-chain Transactions, the risk of loss from incorrect addresses or lost private keys, smart-contract and protocol risk, regulatory uncertainty, and the public and permanent nature of on-chain data. You are solely responsible for evaluating and bearing these risks. Payzum does not guarantee the value, liquidity, or legal status of any Digital Asset.

16.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PAYZUM OR ITS AFFILIATES, OFFICERS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR DIGITAL ASSETS, ARISING OUT OF OR RELATING TO THE SERVICES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYZUM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO PAYZUM FOR THE SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

17.Indemnification

You agree to indemnify, defend, and hold harmless Payzum and its affiliates and their respective officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (i) your use of the Services, (ii) your breach of these Terms or applicable law, (iii) your products, services, or dealings with End Users, or (iv) your violation of any third-party right.

18.Term, Suspension & Termination

These Terms remain in effect while you use the Services. We may suspend or terminate your access, in whole or in part, immediately and without liability, where we reasonably believe you have violated these Terms or applicable law, where required for legal, security, compliance, or risk reasons, or upon discontinuation of the Services. You may stop using the Services at any time. Because the Services are non-custodial, termination does not affect Digital Assets already settled to your Merchant Wallet. Provisions that by their nature should survive termination (including Sections 11–17 and 19–21) will survive.

19.Governing Law & Disputes

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles, and, where applicable, by U.S. federal law.

The parties will first attempt to resolve any dispute informally by contacting [email protected]. Any dispute not resolved within sixty (60) days will be finally resolved by binding arbitration administered in the State of Wyoming under applicable arbitration rules, on an individual basis. You and Payzum waive any right to a jury trial and to participate in a class or representative action, to the extent permitted by law. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction located in Wyoming to protect its intellectual property or confidential information. Mandatory consumer-protection rights in your jurisdiction are unaffected to the extent they cannot be waived.

20.Changes to the Terms

We may amend these Terms from time to time. The "Last updated" date indicates the most recent revision. Material changes will be notified by reasonable means. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of those changes.

21.Miscellaneous

Entire Agreement. These Terms and documents incorporated by reference are the entire agreement between you and Payzum regarding the Services and supersede all prior agreements. Severability. If any provision is held unenforceable, the remaining provisions remain in full force. No Waiver. Our failure to enforce any provision is not a waiver. Assignment. You may not assign these Terms without our prior written consent; we may assign freely. Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control. Relationship. The parties are independent contractors; nothing creates a partnership, agency, or fiduciary relationship. Notices. We may provide notices via the dashboard, email, or by posting on our website.
